We are not responsible for any fees charged by your bank, card issuer, or payment provider in connection with your order.

ORDERS

DISPUTE RESOLUTION AND BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution

Before initiating any formal dispute, you agree to first contact us at support@byorganic.store to attempt to resolve the matter informally. We will work with you in good faith to reach a resolution. Most disputes can be resolved this way.

Binding Arbitration

If informal resolution is unsuccessful, you and ByOrganic agree that any dispute, claim, or controversy arising out of or relating to these Terms, our website, our products, or our services shall be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the state where ByOrganic is located, or remotely by phone or video at the arbitrator's discretion. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND BYORGANIC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND BYORGANIC WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

If a court finds the class action waiver to be unenforceable as to any claim, that specific claim shall be severed from the arbitration and proceed in court, but the remainder of this arbitration agreement shall remain in effect.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@byorganic.store within thirty (30) days of first accepting these Terms. The notice must include your full name, address, and a clear statement that you wish to opt out of arbitration.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute not subject to arbitration shall be filed exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

TERMINATION

We reserve the right to suspend, restrict, or terminate your access to our website at any time, with or without notice, for any reason, including but not limited to violation of these Terms.

Upon termination, your right to use the website ceases immediately. Provisions of these Terms that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, and dispute resolution — shall survive.

SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

ENTIRE AGREEMENT

These Terms, together with our Shipping & Refund Policy and Privacy Policy, constitute the entire agreement between you and ByOrganic regarding your use of our website and supersede any prior agreements or understandings.

NO WAIVER

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of ByOrganic.

ASSIGNMENT

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms at any time without notice or consent.
